These Terms & Conditions ("Terms") govern your access to and use of the SyncRFM website, application and related services (collectively, the "Service") operated by SyncRFM ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

SyncRFM is a multi-tenant software-as-a-service application that connects to your Keap (Infusionsoft) CRM account, imports orders, computes an RFM (Recency, Frequency, Monetary) matrix for each contact, writes the resulting scores back to Keap custom fields, and applies segment tags that may trigger automations you have configured in Keap. The Service synchronizes in near real-time using Keap REST Hooks.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date.

3. Keap Connection & Your Responsibilities

To use the Service you must connect a valid Keap account via OAuth, or provide your own Keap Service Account Key or app credentials. You represent that you are authorized to connect that account and to grant SyncRFM access to the associated data. You are responsible for complying with Keap's own terms of service and API usage policies, including applicable API quotas.

4. Third-Party Services

The Service relies on Keap and may rely on other third-party providers. SyncRFM is not affiliated with, endorsed by, or sponsored by Keap / Infusionsoft. We are not responsible for the availability, accuracy, or policies of third-party services, and changes to their APIs may affect the Service.

5. Subscriptions, Billing & Cancellation

Paid plans are billed in advance on the cadence you select: monthly at €99, semi-annual at €534 (a 10% saving, equivalent to €89/month), or annual at €948 (a 20% saving, equivalent to €79/month). Prices are subject to change with notice. You may cancel at any time; cancellation takes effect at the end of the current billing period. We offer a 14-day money-back guarantee: you may request a full refund within 14 days of your initial purchase. After this period, fees already paid are non-refundable except where required by law or as otherwise expressly provided in these Terms.

6. Acceptable Use

You agree not to misuse the Service, including by attempting to access it through unauthorized means, reverse engineering it, overloading our infrastructure, or using it to process data you are not legally entitled to process. You are solely responsible for the segment tags and automations you configure and the communications they trigger.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You retain all rights to the data in your Keap account. You grant us a limited license to access and process that data solely to provide the Service.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by SyncRFM and protected by applicable laws. These Terms do not grant you any right to our intellectual property except the limited right to use the Service as described.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that RFM scores and segments will produce any particular business outcome.

10. Service Availability, Dependency on Keap and Limitation of Refunds

You expressly acknowledge and agree that the Service is materially dependent upon the continued availability, operation, functionality and stability of the Keap (Infusionsoft) platform and its application programming interfaces, authentication mechanisms, webhooks and related technical services (collectively, the "Keap Services"), which are owned and operated by a third party entirely outside our control.

Accordingly, and to the maximum extent permitted by applicable law, you acknowledge and agree that the operation, performance, continuity and results of the Service cannot be, and are not, guaranteed in any of the following circumstances: (a) where the Service becomes temporarily or permanently unavailable, suspended, degraded or discontinued, in whole or in part, including as a result of downtime, maintenance, outage, technical failure, security incident, force majeure event, or our decision to cease operating the Service; (b) where Keap modifies, deprecates, restricts, throttles, rate-limits, prices, suspends, terminates or otherwise changes the Keap Services, their scope, their availability, their commercial or technical terms, or their functionality, in any manner that impairs, prevents or increases the cost of the operation of the Service; or (c) where any other third-party dependency, network, or infrastructure upon which the Service relies changes or fails in a manner beyond our reasonable control.

The occurrence of any event described in this Section shall not constitute a breach of these Terms by us. To the maximum extent permitted by applicable law, no such event shall entitle you to any refund, credit, set-off, indemnity or compensation of any kind, whether full or partial, in respect of fees already paid for the then-current billing period or any prepaid term, and you expressly waive any such claim, save only for (i) the 14-day money-back guarantee expressly set out in Section 5, and (ii) any rights that cannot be lawfully excluded or limited under mandatory provisions of applicable consumer protection law.

11. Limitation of Liability

To the maximum extent permitted by law, SyncRFM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service if you breach these Terms or use the Service in a way that may cause harm. You may stop using the Service and revoke SyncRFM's access from Keap at any time.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance.
